indeservices.com
Effective Date: May 3, 2026 | Last Updated: May 3, 2026

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at indeservices.com (the “Site”), operated by IndeHR LLC and Independent Retirement Consulting, LLC (doing business as Independent Retirement) (collectively, as applicable, “we,” “us,” or “our”).

IndeHR LLC and Independent Retirement Consulting, LLC are separate legal entities that share this Site for branding, marketing, and informational purposes. Each entity is responsible only for the services, content, communications, tools, and engagements specifically associated with that entity. References to “we,” “us,” or “our” mean the applicable entity responsible for the relevant service, content, tool, communication, or engagement, and do not create joint liability between IndeHR LLC and Independent Retirement Consulting, LLC unless expressly stated in a separate written agreement signed by both entities.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

2. Description of Services

The Site provides information about professional services offered by IndeHR LLC and Independent Retirement Consulting, LLC.

IndeHR LLC provides fractional and outsourced human resources consulting services for Oregon businesses, including but not limited to HR compliance, employee handbooks, performance management, hiring and termination support, Oregon employment law guidance, and prevailing wage compliance.

Independent Retirement Consulting, LLC provides retirement plan consulting services, including but not limited to 401(k) plan design and benchmarking, plan advisor evaluation, fiduciary compliance reviews, and retirement plan optimization.

For purposes of these Terms, “Interactive Tools” includes calculators, questionnaires, estimators, scorecards, benchmarking tools, bid-competitiveness tools, plan-related tools, HR-related tools, and other interactive features made available through the Site.

Jurisdictional Limits. Unless expressly stated otherwise, Site content and Interactive Tools are designed primarily for businesses operating in Oregon and for general informational use by U.S.-based businesses. Employment, HR, payroll, tax, retirement plan, fiduciary, prevailing wage, and compliance obligations vary by jurisdiction and circumstance. We do not represent that Site content or Interactive Tools apply to your jurisdiction, industry, workforce, contracts, plan documents, or specific facts. You are responsible for consulting qualified professionals familiar with the laws and requirements applicable to your business.

Use of this Site, including submission of any form, use of any Interactive Tool, scheduling of a consultation, downloading of any resource, payment through the Site, or receipt of any automated or general response, does not create a client, consulting, advisory, fiduciary, legal, tax, accounting, financial, employment, retirement plan, HR, or other professional relationship with IndeHR LLC or Independent Retirement Consulting, LLC. Professional relationships are created only through a separate written agreement or express acceptance by the applicable entity.

Engagement Acceptance. No professional-services engagement is created unless and until the applicable entity affirmatively accepts the engagement. Acceptance may occur through a separate written agreement, signed proposal, statement of work, engagement letter, onboarding confirmation, written acceptance, or other express confirmation from the applicable entity. We may decline to accept any prospective engagement in our discretion.

Important: The information and tools on this Site are for general informational, educational, marketing, and preliminary evaluation purposes only. Nothing on this Site constitutes legal, tax, investment, financial, accounting, fiduciary, employment, HR, retirement plan, payroll, benefits, insurance, or other professional advice. You should consult with qualified professionals for advice specific to your situation.

You should not act or refrain from acting based on any content, estimate, calculator result, tool output, article, checklist, guide, email, or other information provided through the Site without consulting qualified professionals familiar with your specific facts and circumstances. Your reliance on any Site content or tool output is solely at your own risk.

3. Use of Interactive Tools

Certain pages on the Site may include calculators, questionnaires, estimators, scorecards, benchmarking tools, bid-competitiveness tools, or other interactive features (collectively, “Interactive Tools”). These Interactive Tools are provided solely for general informational, educational, marketing, and preliminary evaluation purposes.

By using any Interactive Tool, you acknowledge and agree that:

  • Results Are Estimates Only. Outputs, projections, comparisons, calculations, scores, ranges, and other results are approximate, may be based on incomplete or user-provided information, and may rely on general assumptions that do not apply to your specific circumstances.
  • No Guarantee of Accuracy or Outcomes. We do not guarantee that any Interactive Tool, rate data, benchmark, formula, assumption, calculation, or output is accurate, current, complete, or applicable to your business. Actual results may vary materially based on facts, laws, regulations, rates, plan terms, employee classifications, payroll data, contracts, market conditions, and other factors.
  • Not Professional Advice. Interactive Tool outputs do not constitute legal, tax, accounting, investment, financial, fiduciary, retirement plan, employment, HR, wage-and-hour, prevailing wage, bidding, pricing, or other professional advice.
  • No Compliance Determination. No Interactive Tool determines whether you are compliant with any law, regulation, contract, retirement plan requirement, fiduciary duty, employment obligation, wage-and-hour rule, prevailing wage requirement, or other legal or business obligation.
  • Verification Required. You are solely responsible for independently verifying all information, assumptions, data, rates, classifications, calculations, and results before making any business, employment, financial, bidding, compliance, retirement plan, or other decision.
  • No Reliance. You should not rely on any Interactive Tool as the sole or primary basis for any decision. Use of an Interactive Tool is at your own risk.
  • Information Submission. If you provide your name, email address, company information, payroll information, employee counts, revenue figures, plan information, or other data through an Interactive Tool, that information will be handled in accordance with our Privacy Policy.

Interactive Tools may generate automated outputs based on information you provide, but those outputs are informational only. They do not constitute determinations, approvals, recommendations, guarantees, eligibility decisions, compliance determinations, fiduciary determinations, employment decisions, compensation decisions, benefits decisions, or other decisions by IndeHR LLC or Independent Retirement Consulting, LLC.

Some Site features, Interactive Tools, communications, summaries, workflows, or outputs may be generated, supported, or assisted by automated systems, software, algorithms, artificial intelligence, or third-party technology tools. Any such outputs are provided for informational, educational, marketing, administrative, or preliminary evaluation purposes only. They may be inaccurate, incomplete, outdated, or unsuitable for your specific circumstances, and they do not constitute professional advice, compliance determinations, fiduciary recommendations, employment decisions, legal conclusions, or binding decisions by IndeHR LLC or Independent Retirement Consulting, LLC.

4. Entity-Specific Responsibility; Affiliated Support and Subcontracting

IndeHR LLC and Independent Retirement Consulting, LLC are separate legal entities. Each entity is responsible only for the services, content, tools, communications, agreements, and business activities specifically associated with that entity.

From time to time, one entity may provide services, subcontracted support, administrative assistance, operational support, personnel support, marketing support, technology support, consulting support, or other business support to the other entity, whether on a paid or unpaid basis. Such support may include assistance with client intake, scheduling, communications, implementation, data collection, project coordination, administrative tasks, or other activities related to the applicable entity’s services.

Unless expressly stated in a separate written agreement signed by both entities and, where applicable, the affected client, such support does not create a partnership, joint venture, agency relationship, alter ego relationship, joint employer relationship, fiduciary relationship, or joint liability between IndeHR LLC and Independent Retirement Consulting, LLC. The entity that contracts with a client or prospect remains responsible for its own services, obligations, communications, and engagements.

Unless expressly stated in a separate written agreement, neither entity is responsible for the acts, omissions, obligations, representations, warranties, liabilities, debts, services, tools, content, communications, or engagements of the other entity.

Nothing on the Site, including shared branding, shared contact forms, shared technology systems, shared employees or contractors, shared office space, shared marketing materials, cross-references between services, or affiliated support between the entities, is intended to create a partnership, joint venture, agency relationship, alter ego relationship, joint employer relationship, fiduciary relationship, or joint liability between IndeHR LLC and Independent Retirement Consulting, LLC.

5. Service Descriptions

Descriptions of services, packages, resources, tools, features, or offerings on the Site are provided for general informational and marketing purposes only. They do not constitute an offer, guarantee, warranty, or commitment to provide any particular service, deliverable, result, scope, timeline, staffing arrangement, price, or availability.

We may accept, decline, limit, condition, modify, or discontinue any service, package, resource, tool, feature, or offering in our discretion. Any specific services, deliverables, fees, timelines, responsibilities, and limitations will be governed by the applicable written agreement, proposal, statement of work, checkout terms, invoice terms, subscription terms, or other written terms provided by the applicable entity.

6. Changes to Site Content, Tools, and Services

We may update, modify, replace, suspend, discontinue, or remove any Site content, Interactive Tool, form, resource, feature, service description, rate, assumption, formula, benchmark, output, download, or other Site material at any time without notice or liability.

Site content and Interactive Tools may become outdated, incomplete, or inaccurate over time. We do not undertake any obligation to update Site content, Interactive Tools, rate data, assumptions, benchmarks, formulas, outputs, or other materials except as required by applicable law or as expressly stated in a separate written agreement.

The availability of any Site content, Interactive Tool, resource, or service description does not guarantee that any service will be available, appropriate, or offered to you or your business.

7. Third-Party, Government, and Public Source Data

Site content and Interactive Tools may reference, incorporate, summarize, link to, or rely on information from third parties, government agencies, public databases, industry sources, vendors, service providers, or other external sources. This may include laws, regulations, agency guidance, rates, thresholds, deadlines, wage data, insurance information, tax information, retirement plan information, benchmarking data, or similar materials.

We do not guarantee that third-party, government, public source, vendor, or industry information is accurate, complete, current, applicable, or interpreted correctly for your specific circumstances. Such information may change without notice and may be subject to exceptions, qualifications, updates, corrections, or differing interpretations.

You are responsible for independently verifying any external data, legal requirement, rate, threshold, deadline, benchmark, assumption, or source material before relying on it.

8. HR and Employment-Related Information

IndeHR LLC is not a law firm and does not provide legal advice through the Site. HR, employment, payroll, benefits, wage-and-hour, prevailing wage, handbook, hiring, termination, performance management, compliance, or workplace-related content on the Site is general information only and is not a substitute for advice from qualified legal counsel or other professionals familiar with your specific circumstances.

Employers remain solely responsible for employment decisions, workplace policies, wage-and-hour compliance, payroll practices, employee classifications, leave administration, disciplinary actions, hiring decisions, termination decisions, accommodation decisions, prevailing wage compliance, workplace investigations, and other employment-related obligations. Nothing on the Site creates a joint-employer relationship or makes IndeHR LLC or Independent Retirement Consulting, LLC responsible for your employment decisions or obligations.

9. Retirement Plan, ERISA, Fiduciary, Tax, and Investment Information

Independent Retirement Consulting, LLC does not provide legal, tax, accounting, investment, or fiduciary advice through the Site. Retirement plan, 401(k), plan design, benchmarking, advisor evaluation, fiduciary review, tax credit, contribution, compliance, or plan optimization content on the Site is general information only and is not a substitute for advice from qualified legal, tax, accounting, investment, fiduciary, or retirement plan professionals familiar with your specific facts, plan documents, service agreements, and fiduciary obligations.

Plan sponsors, fiduciaries, employers, and other responsible parties remain solely responsible for decisions relating to plan design, plan administration, plan investments, service provider selection, fiduciary process, participant communications, contribution strategies, compliance obligations, filings, notices, and other retirement plan matters. Nothing on the Site creates an ERISA fiduciary relationship, investment advisory relationship, tax advisory relationship, legal relationship, or plan administration relationship unless expressly stated in a separate written agreement with the applicable entity.

10. Independent Professional Judgment

You are solely responsible for evaluating whether any Site content, Interactive Tool, tool output, resource, communication, example, benchmark, estimate, or other information is appropriate for your specific circumstances. You should consult qualified legal, tax, accounting, financial, fiduciary, retirement plan, HR, payroll, benefits, employment, insurance, or other professionals, as applicable, before making decisions or taking action based on information obtained through the Site.

We are not responsible for any decision, action, inaction, cost, loss, compliance issue, employment issue, bidding decision, retirement plan issue, fiduciary issue, tax issue, payroll issue, or other consequence arising from your use of or reliance on Site content, Interactive Tools, tool outputs, or other Site information.

11. Examples, Testimonials, and Results

The Site may include examples, case studies, testimonials, reviews, success stories, scenarios, benchmarks, estimates, comparisons, or descriptions of past results. These materials are provided for general informational and marketing purposes only.

Past results, examples, testimonials, estimates, benchmarks, or case studies do not guarantee or predict any particular outcome for you or your business. Results vary based on facts, circumstances, industry, workforce, plan design, service scope, implementation, market conditions, legal requirements, and other factors.

Any hypothetical examples or scenarios are illustrative only and may not reflect your specific situation.

12. Intellectual Property

The Site and all content, materials, features, functionality, tools, calculators, questionnaires, estimators, scorecards, frameworks, methods, workflows, formulas, logic, outputs, templates, downloads, text, graphics, logos, icons, images, videos, audio, software, code, design elements, user interface elements, and the compilation, arrangement, and presentation of the foregoing are owned by IndeHR LLC, Independent Retirement Consulting, LLC, or their respective licensors, content suppliers, or service providers, and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

You may access and use the Site solely for your own internal business evaluation or personal informational purposes. You may print or download one copy of a reasonable number of pages from the Site for your own internal, non-commercial use, provided that you do not modify the materials and retain all copyright, trademark, and proprietary notices.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, scrape, harvest, reverse engineer, decompile, disassemble, frame, mirror, sell, license, or commercially exploit any portion of the Site, including any Interactive Tool or tool output, without our prior written consent.

You may not use any Site content, Interactive Tool, output, methodology, framework, questionnaire, estimator, calculator, score, benchmark, template, or resource to build, train, improve, market, or commercialize any competing product, service, tool, model, database, or offering.

All names, logos, service names, designs, slogans, and trade dress associated with IndeHR LLC, Independent Retirement Consulting, LLC, IndeHR, Independent Retirement, and related brands are trademarks or proprietary identifiers of their respective owners. You may not use those marks without prior written permission.

13. User Conduct; Acceptable Use

You agree not to use the Site in any manner that:

  • violates any applicable federal, state, local, or international law or regulation;
  • infringes, misappropriates, or violates our rights or the rights of any third party;
  • involves sending or facilitating unsolicited or unauthorized advertising, promotional materials, spam, or abusive communications;
  • attempts to interfere with, compromise, disrupt, overload, damage, disable, impair, or circumvent the security, integrity, availability, or operation of the Site or any systems, servers, networks, forms, tools, or technology used to operate the Site;
  • introduces viruses, trojan horses, worms, logic bombs, malware, or other malicious or technologically harmful material;
  • impersonates or attempts to impersonate us, our employees, another user, or any other person or entity;
  • submits false, misleading, fraudulent, unauthorized, unlawful, confidential, proprietary, or otherwise improper information through any form, tool, checkout page, scheduling page, or other Site feature;
  • scrapes, crawls, harvests, mines, extracts, indexes, copies, monitors, or collects Site content, tool outputs, data, forms, resources, or user information through automated or manual means without our prior written consent;
  • reverse engineers, decompiles, disassembles, tests, probes, or attempts to discover the source code, formulas, assumptions, logic, workflows, scoring methods, benchmarks, models, or methodologies behind any Site feature or Interactive Tool;
  • uses the Site, Site content, Interactive Tools, tool outputs, resources, forms, or communications to build, train, improve, market, or commercialize any competing product, service, tool, model, database, or offering;
  • uses the Site to submit or transmit information you do not have the right to provide; or
  • uses the Site in any way that may create legal, operational, security, reputational, or business risk for us, our clients, our prospects, our vendors, or any third party.

14. Access Restrictions; Suspension; Termination

We reserve the right, in our sole discretion and without notice, to restrict, suspend, disable, or terminate access to all or any part of the Site, including any Interactive Tool, form, resource, or feature, if we believe that you have violated these Terms, submitted false or misleading information, abused the Site, interfered with Site security or operation, infringed our rights or the rights of others, or used the Site in a manner that may create legal, operational, reputational, security, or business risk.

We may also modify, suspend, or discontinue all or any part of the Site, including any content, Interactive Tool, form, resource, or feature, at any time without liability.

15. User Submissions; Feedback

If you submit, upload, transmit, or otherwise provide information, content, messages, data, suggestions, feedback, ideas, or other materials through the Site, including through forms, scheduling tools, email links, downloads, or Interactive Tools (“User Submissions”), you represent that you have the right to provide those User Submissions and that they are accurate to the best of your knowledge.

You remain responsible for your User Submissions. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, store, process, transmit, display, and analyze User Submissions as reasonably necessary to operate the Site, provide requested information, respond to inquiries, administer Interactive Tools, improve our Site, tools, services, and communications, manage prospect and client relationships, and conduct our business operations.

If you provide suggestions, ideas, recommendations, or feedback about the Site, our tools, our services, or our business, we may use that feedback without restriction or compensation to you.

Personal information contained in User Submissions will be handled in accordance with our Privacy Policy. Any ownership, confidentiality, or use rights relating to information provided in connection with a separate paid professional-services engagement will be governed by the applicable written agreement with the applicable entity.

16. Authority to Act on Behalf of a Business

If you access the Site, submit information, use an Interactive Tool, schedule a consultation, download a resource, make a payment, purchase a service, or communicate with us on behalf of a company, employer, plan sponsor, organization, client, or other entity, you represent and warrant that you have authority to act on behalf of that entity and to provide the information, instructions, authorizations, and payment details you submit.

You agree not to submit information about any company, employer, employee, plan, participant, client, or other person or entity unless you have the right and authority to do so.

17. Information About Employees, Participants, and Third Parties

If you submit information relating to employees, job applicants, contractors, plan participants, beneficiaries, company owners, officers, managers, clients, vendors, or other third parties, you represent and warrant that you have the right and authority to provide that information and that your submission complies with applicable law, contracts, policies, notices, consents, and other obligations.

You should not submit Social Security numbers, financial account numbers, medical information, disability information, protected leave information, benefit-claim information, background-check information, disciplinary records, immigration documents, government identification numbers, or other highly sensitive personal information through the Site unless specifically requested by us or unless you have entered into a separate written agreement with the applicable entity governing the submission and use of that information.

18. No Confidential Relationship Through Site Submissions

Unless we have entered into a separate written agreement with you that expressly provides otherwise, submitting information through the Site, including through forms, scheduling tools, email links, downloads, or Interactive Tools, does not create a confidential, fiduciary, advisory, consulting, professional, or client relationship with IndeHR LLC or Independent Retirement Consulting, LLC.

You should not submit highly sensitive, confidential, privileged, proprietary, regulated, or legally protected information through the Site unless specifically requested by us or unless you have entered into a separate written agreement with the applicable entity governing the submission and use of that information.

Personal information submitted through the Site will be handled in accordance with our Privacy Policy.

19. Electronic Communications and Transmission Risk

Communications through the Site, email links, forms, scheduling tools, payment links, Interactive Tools, downloads, CRM workflows, and other electronic channels may not be secure, confidential, encrypted end-to-end, or appropriate for highly sensitive information. You should use caution when deciding what information to submit electronically.

Unless specifically requested by us or provided under a separate written agreement with the applicable entity, you should not submit highly sensitive, confidential, privileged, proprietary, regulated, or legally protected information through ordinary Site forms, scheduling tools, email links, Interactive Tools, or other general website features.

20. Electronic Communications

By submitting information through the Site, scheduling a consultation, using an Interactive Tool, downloading a resource, making a payment, or otherwise communicating with us electronically, you consent to receive electronic communications from us and our service providers related to your inquiry, request, tool use, download, consultation, payment, prospective engagement, existing engagement, or use of the Site.

These communications may include emails, scheduling messages, confirmations, reminders, tool results, follow-up communications, service-related notices, transactional messages, and, where permitted by law, marketing communications. You may opt out of marketing emails at any time by using the unsubscribe link in our emails or by contacting us directly. Opting out of marketing communications does not prevent us from sending non-marketing communications related to your inquiry, request, consultation, transaction, account, or engagement.

21. Forms, Scheduling, and Consultation Requests

Submitting a form, requesting information, scheduling a consultation, using a scheduling link, downloading a resource, or otherwise contacting us through the Site does not guarantee that we will accept you as a client, provide services to you, respond within any particular timeframe, or take action on your behalf.

You are responsible for monitoring and meeting any deadlines, legal obligations, compliance requirements, filing requirements, notice requirements, payroll obligations, employment obligations, retirement plan obligations, tax obligations, fiduciary obligations, or other time-sensitive responsibilities that may apply to you or your business.

We may decline, cancel, reschedule, or limit any consultation, inquiry, or prospective engagement in our discretion.

22. Payments and Stripe Checkout

The Site may allow you to make payments, pay invoices, purchase services, submit deposits, purchase subscriptions, or access paid resources through Stripe Checkout or other third-party payment processors. Payment processing services are provided by Stripe or another applicable payment processor and are subject to that provider’s terms, privacy policy, security practices, and processing practices.

We do not control and are not responsible for the acts, omissions, security practices, processing practices, payment authorization decisions, delays, errors, fees, or terms of Stripe or any other third-party payment processor.

By submitting payment information through Stripe Checkout or another payment processor, you authorize the applicable entity, Stripe, and any other applicable payment processor to charge the payment method you provide for the amounts disclosed at checkout, on an invoice, in a proposal, in a service agreement, or in other applicable payment terms.

Payment obligations, fees, refunds, cancellations, renewals, subscription terms, service terms, and billing arrangements may be governed by a separate written agreement, proposal, statement of work, invoice, checkout page, payment authorization, subscription terms, or other applicable terms provided by the applicable entity or payment processor.

Unless expressly stated otherwise in a separate written agreement or checkout terms, all payment obligations are owed to the entity identified in the applicable invoice, checkout page, proposal, statement of work, or service agreement.

23. Payments Before Written Agreement; Refunds; Cancellations; Subscriptions

The Site may allow you to make payments, pay invoices, purchase services, submit deposits, purchase subscriptions, purchase resources, or otherwise submit payment before a separate written agreement, statement of work, proposal, engagement letter, or service agreement has been signed or accepted by the applicable entity.

Unless expressly stated otherwise in writing by the applicable entity, submitting payment through the Site, Stripe Checkout, a payment link, an invoice link, or another payment method does not, by itself, create a client, consulting, advisory, fiduciary, legal, tax, accounting, financial, employment, retirement plan, HR, or other professional relationship with IndeHR LLC or Independent Retirement Consulting, LLC. Professional services begin only when the applicable entity accepts the engagement, which may occur through a separate written agreement, proposal, statement of work, engagement letter, onboarding confirmation, written acceptance, or other confirmation from the applicable entity.

If you submit payment before a separate written agreement is in place, your payment is subject to these Terms, the checkout page, invoice, payment link, subscription terms, or other written payment terms presented at or before payment. If there is a conflict between these Terms and specific written payment terms presented at checkout or in an invoice, the more specific payment terms control for that payment.

We may accept, reject, cancel, suspend, or limit any purchase, payment, subscription, resource access, consultation request, or service request in our discretion, including where we believe the transaction is unauthorized, fraudulent, erroneous, unlawful, abusive, outside the scope of services we offer, inconsistent with our business policies, or otherwise creates legal, operational, security, reputational, or business risk.

If we reject or cancel a payment before accepting the related engagement or providing the purchased service, we will refund the payment to the original payment method unless prohibited by law, payment processor rules, suspected fraud, chargeback activity, or other circumstances outside our reasonable control.

Unless expressly stated otherwise in specific written payment terms, checkout terms, invoice terms, subscription terms, or a separate written agreement, payments are non-refundable once the applicable entity has accepted the engagement, provided access to a paid resource, begun work, reserved capacity, incurred costs, or provided the purchased service.

If a subscription or recurring payment is offered, the applicable checkout page, subscription terms, invoice, authorization, or service agreement will describe the billing frequency, amount, renewal terms, cancellation process, and any applicable limitations. Unless expressly stated otherwise, cancellation stops future charges but does not automatically entitle you to a refund of amounts already paid.

24. Disclaimer of Warranties

THE SITE AND ALL CONTENT, TOOLS, COMMUNICATIONS, OUTPUTS, RESOURCES, SERVICES DESCRIPTIONS, AND FEATURES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND RELIABILITY.

NEITHER INDEHR LLC NOR INDEPENDENT RETIREMENT CONSULTING, LLC WARRANTS THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, CURRENT, COMPLETE, OR FREE OF HARMFUL COMPONENTS; THAT ANY DEFECTS WILL BE CORRECTED; OR THAT THE RESULTS OBTAINED FROM THE USE OF ANY CONTENT, TOOL, CALCULATOR, FORM, RESOURCE, OR COMMUNICATION WILL BE ACCURATE, RELIABLE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.

25. Limitation of Liability

To the fullest extent permitted by applicable law, IndeHR LLC, Independent Retirement Consulting, LLC, and their respective members, managers, employees, contractors, agents, representatives, affiliates, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including without limitation loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, business interruption, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Site, any Site content, any Interactive Tool, any tool output, any communication through the Site, or these Terms.

This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, statute, fiduciary theory, professional malpractice theory, or any other legal theory, whether or not we have been advised of the possibility of such damages.

Because the Site, Site content, and Interactive Tools are provided for general informational, educational, marketing, and preliminary evaluation purposes, and are not provided in exchange for a separate fee, our total liability for all claims arising out of or relating to the Site, Site content, Interactive Tools, tool outputs, or these Terms shall not exceed one hundred dollars ($100.00) or the minimum amount required by applicable law, whichever is greater.

Nothing in this Section limits liability that cannot be limited under applicable law. Nothing in these Terms limits, modifies, or supersedes any liability provisions contained in a separate written agreement between you and the applicable entity for paid professional services, unless that agreement expressly states otherwise.

26. External Links and Third-Party Services

The Site may contain links to, or integrate with, third-party websites, services, platforms, tools, payment processors, scheduling providers, analytics providers, CRM providers, government agency websites, and other external resources. We do not own or control these third-party services and are not responsible for their content, accuracy, availability, security, privacy policies, terms, practices, or actions.

You acknowledge and agree that we shall not be liable for any damage or loss caused or alleged to be caused by or in connection with use of, reliance on, or interaction with any third-party website, service, platform, tool, processor, or resource.

27. Indemnification

You agree to defend, indemnify, and hold harmless IndeHR LLC, Independent Retirement Consulting, LLC, and their respective members, managers, employees, contractors, agents, representatives, affiliates, successors, and assigns from and against any claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your access to or use of the Site;
  • your use of or reliance on any Site content, Interactive Tool, tool output, estimate, calculator, benchmark, score, resource, or communication;
  • your User Submissions, including any inaccurate, incomplete, misleading, unauthorized, confidential, proprietary, regulated, or unlawful information you submit;
  • your violation of these Terms;
  • your violation of any applicable law, regulation, contract, or third-party right;
  • your misuse of the Site, forms, resources, or Interactive Tools; or
  • any business, employment, bidding, compliance, retirement plan, fiduciary, financial, tax, accounting, legal, or other decision you make based in whole or in part on Site content or Interactive Tool outputs.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

28. Governing Law; Dispute Resolution; Arbitration; Class Action Waiver

These Terms and any dispute, claim, or controversy arising out of or relating to the Site, these Terms, our Privacy Policy, any Site content, any Interactive Tool, or your interaction with IndeHR LLC or Independent Retirement Consulting, LLC through the Site shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict-of-law principles.

Informal Resolution. Before filing any legal claim, you agree to first contact us and attempt to resolve the dispute informally by sending written notice to the applicable entity at the contact information listed below. The notice must describe the nature of the dispute and the relief requested. We will attempt to resolve the dispute informally within thirty (30) days after receiving notice.

Binding Arbitration. If the dispute is not resolved informally, then, to the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Site, these Terms, our Privacy Policy, any Site content, any Interactive Tool, or your interaction with us through the Site shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. This arbitration provision is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

The arbitration shall take place in Clackamas County, Oregon, unless the parties agree otherwise. The arbitrator shall have authority to award the same damages and relief that a court could award, subject to the limitations and exclusions in these Terms.

Exceptions. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, data security, or other urgent rights. Either party may also bring an individual claim in small claims court if the claim qualifies.

Class Action Waiver. You and we agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, collective, representative, or private attorney general action. You and we waive any right to participate in a class action, class arbitration, consolidated action, collective action, representative action, or private attorney general action. If the class action waiver in this section is found to be unenforceable with respect to any claim, then the entire arbitration provision in this Section 28 shall be unenforceable with respect to that claim, and that claim shall instead be resolved in court in accordance with the Governing Law and Venue provisions of this Section.

Venue for Permitted Court Proceedings. For any dispute not subject to arbitration, or for any court proceeding permitted under this section, the exclusive venue shall be the state or federal courts located in Clackamas County, Oregon, and you consent to the personal jurisdiction of those courts.

29. Legal Notices

Notices to us relating to legal claims, disputes, arbitration, privacy rights, or other legal matters should be sent to the applicable entity at the contact information listed in the Contact Information section below. A notice should identify the sender, describe the matter in reasonable detail, identify the applicable entity if known, and include contact information for follow-up.

We may provide notices to you through the Site, by email, through a payment processor or scheduling platform, through your account or CRM contact information, or by other reasonable means. Electronic notices are effective when sent or posted, unless a different effective date is stated in the notice or required by law.

30. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

31. Force Majeure

We shall not be liable or responsible for any delay, failure, interruption, loss, or damage caused by events or circumstances beyond our reasonable control, including without limitation acts of God, natural disasters, fires, floods, severe weather, epidemics, pandemics, labor disputes, supply chain disruptions, power outages, telecommunications failures, internet service failures, hosting failures, cyberattacks, security incidents, governmental actions, changes in law, war, terrorism, civil unrest, vendor failures, third-party platform failures, or other events beyond our reasonable control.

32. Accessibility

We want the Site to be usable by as many visitors as reasonably possible. If you experience difficulty accessing any portion of the Site or need assistance with any content, form, tool, or feature, please contact us using the information below. We will make reasonable efforts to assist you and, where appropriate, to address accessibility issues brought to our attention.

33. Separate Professional Service Agreements

These Terms govern your access to and use of the Site, Site content, Interactive Tools, forms, resources, payments made through the Site, and other website features. They do not, by themselves, govern the full provision of paid professional services by IndeHR LLC or Independent Retirement Consulting, LLC after an engagement has been accepted.

Any professional services, consulting services, advisory services, retirement plan services, HR services, implementation services, or other paid engagements may be governed by the separate written agreement, statement of work, engagement letter, service agreement, proposal, checkout terms, invoice terms, subscription terms, or other contract entered into with or accepted by the applicable entity.

If there is a conflict between these Terms and a separate written agreement with the applicable entity for paid professional services, the separate written agreement controls with respect to those paid professional services.

34. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court, arbitrator, or other tribunal of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it valid, legal, and enforceable.

35. Entire Agreement

These Terms, together with our Privacy Policy and any specific written payment, checkout, subscription, invoice, or resource terms presented to you, constitute the entire agreement between you and us regarding your use of the Site and supersede all prior or contemporaneous agreements, communications, and proposals, whether electronic, oral, or written, between you and us with respect to the Site. Separate written agreements between you and IndeHR LLC or Independent Retirement Consulting, LLC for the provision of professional services are not affected by these Terms except as expressly stated in the applicable agreement.
